Aircraft Finance Trust ("AFT"), a Delaware business trust, issued the above classes of notes on May 5, 1999 pursuant to applicable exemptions from registration under the Securities Act of 1933, as amended (the "Securities Act"). On January 20, 2000, AFT completed an exchange offer whereby the Class A-1, A-2, B and C notes were exchanged for corresponding classes of notes (the "Exchange Notes"), and the Exchange Notes were subsequently registered under the Securities Act. The Class D notes were not exchanged and remain unregistered. With respect to the Exchange Notes, on November 8, 2002, AFT suspended its reporting obligations with the Securities and Exchange Commission under Rule 15(d) of the Securities Exchange Act of 1934, as amended.
